MINUTES OF THE IIA KENYA 11th ANNUAL GENERAL MEETING HELD ON 26th FEBRUARY 2021 VIA ELECTRONIC COMMUNICATION
PRESENT
A total of 193 members attended the Annual General meeting.
IN ATTENDANCE

INTRODUCTION
The Secretary called the meeting to order at 02:00 pm and an opening prayer was made by Miss Mary Chief. The secretary then officially welcomed members to the meeting and also introduced the Institute's Board members present.
MIN IIA / 1/20: CONSTITUTION OF THE MEETING, QUORUM CONFIRMATION & ADOPTION OF THE AGENDA
The Secretary read the notice of the Annual General Meeting and confirmed presence of a quorum for the meeting. The Secretary read through the agenda of the meeting as was in the meeting notice as follows:
1. Constitution of the meeting: To read the notice convening the meeting and confirm quorum.
2. Confirmation of the minutes and matters arising from I 0th Annual General Meeting held on 11th December 2019.
3. The Chairperson's Report on the status of the Institute.
4. Receive, consider and adopt the Audited Financial Statements for the year ending 31st December 2019 and the Auditor's Report.
5. The appointment and Remuneration of the Auditor for 2020 financial year.
6. To consider and adopt proposed Bylaw amendments on Institute governance.
7. Receive the Election Report and Introduction & office assumption for newly elected Board of the Institute of Internal Auditors Kenya.
8. Any Other Business: To consider any other business for which due notice has been given
